General Terms and Conditions (GTC)

In the event of any discrepancy, the German version shall prevail.

§ 1 Scope
These GTC apply to all orders placed via shop.mineomat.com between MINEOMAT GmbH (hereinafter “MINEOMAT”) and its customers. Consumers within the meaning of the KSchG (Austrian Consumer Protection Act) and businesses within the meaning of the UGB (Austrian Commercial Code) are treated separately where stated below. Deviating terms and conditions of the customer shall not form part of the contract unless MINEOMAT expressly agrees to their validity in writing.

§ 2 Contracting party and conclusion of contract
Your contracting party is MINEOMAT GmbH, Seeblick 1, 7082 Donnerskirchen, Austria (FN 680555t, Regional Court of Eisenstadt, VAT ID ATU83395568). The presentation of products in the shop does not constitute a binding offer but a non-binding invitation to place an order. By submitting the order, the customer makes a binding offer. The contract is concluded upon acceptance by MINEOMAT (separate order confirmation or dispatch of the goods); an automatic acknowledgement of receipt does not yet constitute acceptance.

§ 3 Products and compatibility
The MINEOMATBOX controls one or more Bitcoin miners automatically as soon as surplus solar power is available. Whether MINEOMAT can read the customer’s inverter and whether it can control the customer’s miners are assessed separately; the two capabilities are independent of each other.

A non-binding compatibility check is available before ordering. It is free of charge and is not a prerequisite for purchase; its result does not restrict the ability to order. If an inverter cannot be read directly, the solar surplus can instead be measured by an electricity meter at the grid connection point. MINEOMAT does not warrant any particular reading or control method or any particular polling interval for a specific system; what matters is that the agreed basic function – controlling the miner according to the solar surplus – can be performed.

If, contrary to expectations, the system cannot be connected, the customer may return the MINEOMATBOX and will receive a full refund of the purchase price (money back on return). In this case, MINEOMAT bears the cost of return shipping. This voluntary commitment is without prejudice to any further statutory rights, in particular the right of withdrawal (§ 8) and the statutory warranty (§ 11).

§ 4 Reference bonus (cashback)
(1) MINEOMAT may grant a voluntary reference bonus for the first-time connection of certain devices. It amounts to €20 per miner model and €40 per inverter brand. No redeemable discount code is issued; any entitlement exists solely in accordance with the following conditions.

(2) Only a device that is not yet field-proven at MINEOMAT qualifies for the bonus – that is, a device whose model (for miners, additionally the specific firmware variant) or whose inverter brand had not yet been read or controlled at any commissioned system at MINEOMAT at the time it is reported. Firmware variants of the same miner model (for example, the factory firmware compared with an alternative firmware) are deemed to be separate devices for the purposes of this condition.

(3) The bonus is granted only once per miner model and firmware variant or per inverter brand, namely for the first confirmed connection (first reporter). Thereafter the device is deemed integrated; further reports of the same model or brand do not qualify for the bonus. At most one bonus is granted per physical device – identified by serial number or MAC address; subsequently installing different firmware on the same device does not give rise to a new entitlement.

(4) Payment is subject to MINEOMAT establishing during commissioning that the reported device actually exists and is in operation at the customer’s premises – for a miner, through online operation with hashrate; for an inverter, through actual reading of the system. If the inverter is not read and the surplus is instead measured by an electricity meter, there is no entitlement to the inverter bonus. This verification is carried out manually by MINEOMAT; there is no automatic process.

(5) The bonus is paid as a partial refund to the means of payment used for the order. It is paid out no earlier than after expiry of the 14-day withdrawal period (§ 8) and after confirmed commissioning. If the order is withdrawn from, cancelled or the goods are returned, any outstanding bonus entitlement lapses.

(6) The reference bonus is aimed at consumers; businesses and resellers are excluded. In cases of obvious abuse – for example, an accumulation of multiple reports across serial numbers or households – MINEOMAT reserves the right to refuse the bonus. The bonus is voluntary and may be changed or discontinued at any time for future orders; for an entitlement that has already arisen, the time of the order is decisive.

§ 5 Prices and taxes
All prices are in euros and include the applicable statutory VAT, plus shipping costs. VAT is shown according to the delivery destination:

  • Domestic (Austria): Austrian VAT.
  • Other EU countries, to consumers: VAT of the country of destination.
  • Other EU countries, to businesses with a valid VAT ID: VAT-exempt intra-Community supply (acquisition taxed by the customer).
  • Third countries (e.g. Switzerland) and special EU territories (e.g. the Canary Islands): export delivery; any import duties are borne by the customer unless expressly stated otherwise.

§ 6 Payment
The payment methods offered at checkout apply. Unless otherwise agreed, the purchase price is due for payment upon conclusion of the contract. In the event of late payment, the statutory provisions apply.

§ 7 Delivery and shipping
Deliveries are made exclusively to the countries enabled in the shop. Shipping costs and estimated delivery times are set out in the “Shipping and Payment Terms” and are shown transparently during checkout before the order is completed. Unless expressly designated as binding, information on delivery times is a non-binding estimate.

§ 8 Right of withdrawal for consumers
Consumers have a 14-day right of withdrawal in accordance with the separate information on the right of withdrawal, which forms part of these GTC.

§ 9 Businesses (B2B)
Businesses within the meaning of the UGB have no statutory right of rescission or withdrawal; the provisions of the FAGG (Austrian Distance and Off-Premises Contracts Act) on distance selling apply to consumers only. No voluntary right of return is granted to businesses unless expressly agreed in an individual case.

§ 10 Retention of title
The goods delivered remain the property of MINEOMAT until the purchase price has been paid in full.

§ 11 Statutory warranty
The statutory warranty provisions apply (ABGB – Austrian Civil Code, VGG – Austrian Consumer Warranty Act). In derogation from the statutory provisions, the warranty period for movable goods is reduced to one year from handover for businesses; the presumption of defectiveness under § 924 ABGB is excluded for businesses, and businesses are subject to the duty to inspect and give notice of defects under § 377 UGB. For consumers, the statutory periods apply without restriction.

For used goods, a reduction of the warranty period to one year may be agreed with consumers in accordance with § 10(2) VGG; such a reduction applies only if it was individually negotiated during the ordering process and expressly and separately confirmed. The agreement made in each case is stated in the order confirmation. Without such a separate agreement, the statutory periods apply. Any manufacturer’s guarantee is without prejudice to the statutory warranty and is stated separately.

§ 12 Liability
MINEOMAT is liable without limitation for damage resulting from injury to life, body or health and for damage resulting from intentional or grossly negligent conduct. For property damage and financial loss caused by slight negligence, MINEOMAT is liable only in the event of a breach of an essential contractual obligation and limited to the foreseeable damage typical of the contract. Otherwise, liability for slight negligence is excluded. Liability under the Austrian Product Liability Act (Produkthaftungsgesetz) and mandatory statutory grounds of liability remain unaffected. For consumers, the limitations of liability apply only to the extent permitted under the KSchG.

§ 13 Consumer dispute resolution
MINEOMAT is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body.

§ 14 Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence. For businesses, the place of jurisdiction is the registered office of MINEOMAT. Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
